Terms of Service Agreement

This Terms of Service Agreement (the "Agreement") is a legally binding contract between AI-Staffs, a digital marketing agency ("AI-Staffs," "we," or "us"), and the users ("you" or "your") of our services. By accessing or using our services, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, you may not use our services.

1. Services

AI-Staffs offers digital marketing services that utilize artificial intelligence (AI) technology to create logos, websites, videos, and social media posts for small and medium businesses. The services provided may include but are not limited to graphic design, website development, video production, and social media management.

2. User Content

You are solely responsible for any content, materials, or information ("User Content") that you provide or upload to AI-Staffs. You retain all ownership rights to your User Content. By submitting User Content, you grant AI-Staffs a non-exclusive, worldwide, royalty-free, and sublicensable license to use, reproduce, modify, adapt, publish, distribute, and display your User Content for the purpose of providing the requested services.

3. Intellectual Property Rights

AI-Staffs retains all intellectual property rights to its proprietary technology, algorithms, software, and any other materials used to provide the services. Unless otherwise agreed upon in writing, AI-Staffs grants you a limited, non-exclusive, non-transferable, and revocable license to use the deliverables provided as part of the services solely for your business purposes.

4. Payments and Fees

You agree to pay AI-Staffs the fees specified for the requested services. Payments are due as outlined in the pricing and payment terms provided by AI-Staffs. Failure to make timely payments may result in the suspension or termination of services. All fees are non-refundable unless otherwise stated in this Agreement.

5. Confidentiality

Both parties agree to keep confidential any non-public information obtained during the provision of services. This includes, but is not limited to, trade secrets, proprietary information, and client data. This obligation of confidentiality shall survive the termination of this Agreement.

6. Limitation of Liability

AI-Staffs will make reasonable efforts to provide accurate and quality services. However, we do not guarantee the suitability, reliability, availability, or accuracy of the services. In no event shall AI-Staffs be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services.

7. Termination

Either party may terminate this Agreement at any time with written notice. Upon termination, you shall pay any outstanding fees owed to AI-Staffs. AI-Staffs may also terminate the Agreement immediately if you breach any provision of this Agreement.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising out of or in connection with this Agreement shall be resolved through good faith negotiations. If the dispute cannot be resolved through negotiations, it shall be submitted to binding arbitration in accordance with the rules of [Arbitration Institution] in [Jurisdiction].

9. Modifications

AI-Staffs reserves the right to modify, suspend, or discontinue any aspect of the services at any time without prior notice. We may also update this Agreement from time to time, and any changes will be effective upon posting the revised Agreement on our website. Your continued use of our services after the changes will constitute acceptance of the revised Agreement.

This Agreement constitutes the entire understanding between AI-Staffs and you regarding the subject matter herein
